Terms of Service

1. Agreement to Terms

By accessing or using EasyKeeper, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our service.

2. Services Provided

EasyKeeper provides:

• Cloud-based accounting and business management software
• AI-powered transaction categorisation and bank feed reconciliation
• Invoicing, payroll, BAS, and financial reporting tools
• Document management and storage with OCR
• Migration tools for importing data from other accounting platforms
• Firm management tools for accounting practices

3. Account Registration

3.1 Eligibility

• You must be 18 years or older
• You must have legal authority to bind your business to these terms
• You must provide accurate and complete information
• You must maintain updated account information

3.2 Account Security

• You are responsible for maintaining password confidentiality
• Passwords must meet our security requirements (minimum 8 characters)
• You must notify us immediately of any unauthorised access
• You are liable for all activities conducted under your account
• Account sharing is prohibited

4. Acceptable Use

You agree NOT to:

• Use the service for any illegal purposes
• Attempt to hack, compromise, or reverse engineer our systems
• Upload malware, viruses, or malicious code
• Violate others' intellectual property rights
• Share account credentials with unauthorised users
• Scrape, extract, or harvest data without written permission
• Interfere with or disrupt the service
• Impersonate others or misrepresent your affiliation

5. Subscription and Payments

5.1 Fees

• Subscription fees are billed monthly or annually as selected
• All prices are in Australian Dollars (AUD) and include GST
• Fees are generally non-refundable except as required by Australian Consumer Law

5.2 Payment Terms

• Payments are processed securely via Stripe
• Subscriptions auto-renew unless cancelled
• We may change prices with 30 days advance notice
• You can cancel anytime from your account settings

5.3 Late Payments

• Service access may be suspended for non-payment
• Account may be terminated after 30 days of non-payment
• You remain responsible for all fees incurred

6. Data and Intellectual Property

6.1 Your Data

• You retain full ownership of your data and content
• You grant us a license to process your data solely to provide our services
• You can export your data at any time in standard formats
• You are responsible for the accuracy and legality of your data

6.2 Our Intellectual Property

• EasyKeeper software, trademarks, and content are our property
• You receive a limited, non-exclusive license to use the software
• You may not reverse engineer, copy, or create derivative works
• License terminates upon account termination

7. Data Backup and Security

• We maintain regular automated backups of your data
• We use industry-standard security measures (encryption, access controls)
• You are responsible for maintaining your own backup copies
• We strongly recommend exporting your data regularly
• Refer to our Privacy Policy for detailed security practices

8. Service Level and Uptime

• We target 99.9% uptime but do not guarantee uninterrupted service
• Planned maintenance will be notified in advance when possible
• We are not liable for downtime caused by third-party providers
• Service credits may be provided for extended outages at our discretion

9. Termination

9.1 By You

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• Export your data before termination - access ends at cancellation
• No refunds for unused portions of billing periods

9.2 By Us

• We may terminate accounts for breach of these terms
• We may terminate with 30 days notice for any reason
• We will provide a data export period before termination
• We reserve the right to suspend accounts for non-payment

11. Australian Consumer Law

Nothing in these terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law (ACL) or other applicable Australian legislation that cannot be lawfully excluded.

12. Warranties and Disclaimers

• Services are provided "as is" and "as available"
• We do not warrant error-free or uninterrupted operation
• We are not responsible for third-party integrations (Xero, MYOB, etc.)
• You are responsible for compliance with all tax and regulatory requirements
• We recommend consulting qualified professionals for tax and financial advice

13. Indemnification

You agree to indemnify and hold harmless EasyKeeper, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use or misuse of the service
• Your breach of these terms
• Your violation of applicable laws or regulations
• Your infringement of third-party rights

14. Privacy and Data Protection

Your use of EasyKeeper is subject to our Privacy Policy, which complies with the Australian Privacy Act 1988 and the Australian Privacy Principles.

15. Changes to Terms

• We may update these terms from time to time
• We will notify you of material changes via email or in-app notification
• Continued use after changes constitutes acceptance
• Material changes require explicit consent

16. Dispute Resolution

16.1 Governing Law

These terms are governed by the laws of Australia. Any disputes are subject to the non-exclusive jurisdiction of Australian courts.

16.2 Resolution Process

1. Contact us first to attempt informal resolution
2. If informal resolution fails, consider mediation
3. Australian courts as a last resort

Additional terms for accounting firms using EasyKeeper:

• You may use EasyKeeper to service your clients
• You are responsible for your direct client relationships
• You must comply with all applicable professional standards and regulations
• You retain ownership of your client list and relationships
• Firm branding customisation features may be available
